1. Acceptance
These Terms govern access to and use of services made available by QuiqPe Private Limited under the ZestPe brand.
2. Eligibility
Users must have the legal authority to enter into applicable agreements and use the relevant services.
3. Nature of Services — Technology Service Provider (TSP) Only
ZestPe (QuiqPe Private Limited) is strictly a Technology Service Provider (TSP) that provides software dashboards, API integration tools, invoicing, reporting, reconciliation and workflow automation.
ZestPe is not a bank, Non-Banking Financial Company (NBFC), RBI-authorised Payment Aggregator (PA), Prepaid Payment Instrument (PPI) issuer, UPI TPAP or Bharat Connect Operating Unit, and ZestPe does not hold, pool, custody, escrow or settle merchant or customer funds.
All regulated payment collection, UPI acquiring, virtual account, payout, connected banking and bill-payment services are provided directly by RBI-regulated partner banks and authorised payment service providers under their respective licences, terms and direct merchant agreements.
4. Account Registration
Users must provide accurate information, maintain appropriate account security and notify ZestPe of unauthorised access.
5. Verification
Activation of particular services may require business verification, additional documentation, risk review and approval by the relevant provider.
6. Permitted Use
Users must use the platform only for lawful and approved business purposes.
7. Fees
Applicable charges will be specified in the relevant pricing schedule, order form or service agreement.
8. Payments and Settlement (Partner-Led Model)
Because ZestPe operates solely as a Technology Service Provider (TSP), ZestPe never receives, holds, pools or settles transaction funds. All payment processing, clearing, nodal/escrow management, settlement and related financial obligations are performed directly by the respective RBI-regulated partner bank or authorised payment provider in accordance with applicable RBI regulations and the merchant's agreement with that partner.
9. Refunds and Disputes
Merchants remain responsible for their customer-facing commercial obligations, subject to applicable laws and relevant service agreements.
10. Service Availability
Features may be changed, restricted, suspended or discontinued in accordance with the applicable agreement and law.
11. Intellectual Property
ZestPe branding, software, documentation and other protected materials remain the property of their respective owners.
12. Data Protection
Personal information will be handled in accordance with the applicable Privacy Policy and law.
13. Security Obligations
Users must protect account credentials and promptly report suspected misuse.
14. Prohibited Activities
The platform may not be used for unlawful transactions, fraud, impersonation or other prohibited purposes.
15. Liability
Services are provided on an "as is" and "as available" basis to the maximum extent permitted by applicable law. To the extent permitted by law, QuiqPe Private Limited's aggregate liability arising out of or relating to the platform or services shall not exceed the software or platform fees paid by the merchant to ZestPe in the three (3) months immediately preceding the event giving rise to the claim, and in no event shall QuiqPe Private Limited be liable for any indirect, incidental, special, punitive or consequential damages.
16. Termination
Either party may suspend or terminate access to the platform in accordance with these Terms or the applicable merchant agreement. ZestPe may immediately restrict or suspend account access where reasonably required for security, suspected fraud, non-payment, breach of the Acceptable Use Policy, or compliance with legal, banking or regulatory directives.
17. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Subject to applicable statutory dispute-resolution mechanisms for regulated payment services, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts at Lucknow, Uttar Pradesh.
